1. Introduction & Agreement

Glowai is a service provided by QORVEL LTD, a company registered in England and Wales under company number 17329544, with its registered office at Dept 6940, 43 Owston Road, Carcroft, Doncaster, England, DN6 8DA. In these Terms, “QORVEL LTD”, “we”, “us” and “our” refer to QORVEL LTD. “Glowai” or the “Service” refers to the Glowai platform, the website at glowai.me, and the AI-powered tools, features and related services made available through it.

These Terms govern your access to and use of Glowai, including your account, purchases, token balance, use of AI tools and generated content, payments, refunds, acceptable use, service availability, intellectual property, suspension and closure of accounts, liability and other matters relating to the Service.

By creating an account, accessing or using Glowai, submitting content to the Service or making a purchase, you agree to be bound by these Terms. If you do not agree to them, you must not access or use Glowai. Where additional terms apply to a particular feature and are presented to you when using that feature, those additional terms will also apply. In the event of a conflict, the terms specifically applicable to that feature will prevail unless stated otherwise.

2. Eligibility & Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to use Glowai. If you access or use Glowai on behalf of a company, organisation or other legal entity, you confirm that you have authority to accept these Terms on its behalf, and references to “you” may include that entity where appropriate.

Some Glowai features require an account. You must provide accurate and current information during registration and keep that information reasonably up to date. You may not create or operate an account on behalf of another person unless you have authority to do so. We may ask you to verify or update information where reasonably necessary for account security, payment processing, fraud prevention, legal compliance or operation of the Service.

You are responsible for keeping your login credentials confidential and taking reasonable steps to protect your account. Activity carried out through your account will generally be treated as authorised by you unless you notify us of unauthorised access or the activity resulted from a fault attributable to us. If you know or suspect that your account or credentials have been compromised, you must contact us promptly at [email protected]. We may temporarily restrict access or require security verification where reasonably necessary to protect your account, other users or the Service.

You may not maintain more than one personal Glowai account without our written agreement or create additional accounts to circumvent restrictions, usage limits, payment controls, enforcement measures or a previous suspension or closure. Accounts may not be created through bots, scripts or other automated tooling unless Glowai expressly permits that method.

3. Purchases, Payments & Tokens

Glowai operates exclusively on a one-time purchase model. Each purchase is an independent transaction that you actively initiate and confirm at checkout. Glowai does not operate subscriptions, automatic renewals, recurring memberships, recurring billing cycles or automatic card-on-file charges. Purchasing tokens does not create any obligation to purchase again. When your token balance runs low or reaches zero, no further purchase or charge takes place unless you actively initiate and confirm another checkout.

Glowai may offer token packs or other credits that can be used for eligible tools and functionality within the Service. Purchased tokens are added to your account balance following successful payment and remain available for use subject to these Terms. Tokens represent a contractual right to access eligible Glowai functionality. They are not money, electronic money, a deposit, an investment product or a stored-value payment account and, except where these Terms or applicable law provide otherwise, cannot be exchanged for cash or transferred to another user. Free, promotional or trial credits may be subject to separate limitations and have no cash value.

If you require additional tokens, you may purchase another token pack at any time. Each top-up constitutes a separate one-time purchase requiring a new checkout and confirmation. No automatic top-up occurs unless we expressly introduce such a feature and you separately choose to enable it.

Available token packs, prices and supported currencies are displayed through Glowai before purchase. The price shown at checkout is the price applicable to that transaction. We may change prices, introduce new token packs or discontinue existing purchase options at any time, but changes apply only to future purchases and do not retrospectively affect completed purchases or tokens already credited to your account.

Applicable VAT, sales tax or other transaction taxes that we are required to collect will be displayed or included at checkout as required by applicable law. You are responsible for any other taxes, duties or charges applicable to you that we are not legally required to collect. Where currency conversion is performed by your bank, card issuer, wallet provider or another payment service provider, any exchange rate or conversion fee imposed by that provider is outside our control.

Before completing a purchase, you will be shown the relevant amount and currency payable. By confirming checkout, you authorise payment of the displayed amount and confirm that you are authorised to use the selected payment method. A purchase is completed only after payment has been successfully processed.

Available payment methods are shown at checkout and may include major payment cards, mobile wallets and other supported methods. Payments are processed by authorised third-party payment providers, which may process payment information in accordance with their own legal and regulatory obligations. Full payment-card credentials are transmitted to the applicable payment provider and are not stored in full on QORVEL LTD systems. Payment providers operate under the security requirements applicable to their services, including relevant PCI DSS requirements for card-payment processing.

We may refuse or review a transaction where reasonably necessary for fraud prevention, security, legal compliance or protection of the Service. If a payment is declined or otherwise fails, the purchase is not completed and the corresponding tokens are not added to your account. Because Glowai does not operate subscriptions or recurring billing, there is no subscription dunning process or automatic recurring-payment sequence following a failed purchase. You may initiate another checkout if you wish to try again.

A receipt or transaction confirmation is provided for successful purchases. We retain transaction, invoicing and accounting records for the periods required by applicable law and for legitimate purposes including accounting, tax compliance, fraud prevention, payment disputes and the establishment or defence of legal claims. Further information about how personal data associated with payments is processed is available in our Privacy Policy.

4. Refunds & Payment Disputes

Refund requests must generally be submitted within 30 calendar days from the date the relevant payment was completed. Nothing in these Terms limits or excludes any refund, cancellation or other consumer right that cannot lawfully be limited or excluded under applicable law.

We may issue a refund where less than 50% of the tokens included in the relevant purchased pack have been consumed and the request is submitted within the applicable 30-day period. Where more than 50% of the purchased tokens have been consumed, the purchase will generally not be eligible for a refund unless a refund is required by applicable law or another ground described in these Terms applies. We do not normally provide partial refunds for partially consumed token packs; an eligible pack is generally refunded in full or not refunded, except where a proportionate refund is appropriate for a verified service failure or required by law.

A full or proportionate refund may also be provided where a persistent technical failure attributable to Glowai has prevented meaningful use of a paid feature and we have been unable to resolve the problem within a reasonable period, normally approximately 72 hours after receiving sufficient information to investigate it. Verified duplicate payments, incorrect charges and other confirmed billing errors will be corrected or refunded as appropriate.

Subject to mandatory consumer rights, refunds are generally unavailable where the 30-day request period has expired, more than 50% of the relevant token pack has been consumed, the tokens were provided free of charge as promotional, trial or complimentary credits, or the relevant problem was caused by your device, internet connection, software, configuration or an unsupported third-party integration. A refund will also generally not be available merely because you are dissatisfied with the style, tone, aesthetic, accuracy or perceived usefulness of AI-generated Output where the Service processed the request as designed. Where an account has been suspended or closed because of a material breach of these Terms, unused tokens are not automatically refundable, subject always to applicable law.

Approved refunds are normally returned to the original payment method. Once processed by us, the time required for the funds to appear depends on the relevant payment provider, card issuer or financial institution and will typically be approximately 5 to 10 business days.

To request a refund, contact [email protected] from the email address associated with your Glowai account and provide your account email, the relevant order or transaction reference, the date and amount of the payment, the reason for the request and any supporting information reasonably required to assess it, such as screenshots or error details. We aim to acknowledge refund requests within 24 hours on business days and normally reach a decision within 5 to 10 business days after receiving the information reasonably necessary to assess the request.

If you believe that a payment is incorrect, duplicated or otherwise unauthorised, please contact us promptly so that we can investigate. Nothing in these Terms prevents you from exercising any lawful right to dispute a transaction through your bank, card issuer or payment provider. Where a transaction becomes subject to a chargeback or other payment dispute, we may temporarily restrict the corresponding tokens or relevant account functionality where reasonably necessary to prevent fraud, abuse or duplicate reimbursement while the dispute is investigated.

All provisions concerning refunds and payment disputes are subject to mandatory consumer protection law. Where applicable law gives you rights that are more favourable than these Terms, those statutory rights will apply.

5. User Content & AI-Generated Output

You may submit text, images, code, instructions, prompts, files and other material to Glowai in connection with your use of the Service (“Input”). Glowai may process that Input and generate text, images, code, audio, music, marketing material or other content in response (“Output”).

As between you and QORVEL LTD, you retain ownership of your Input. To the extent that rights in AI-generated Output can be owned or assigned under applicable law, we assign to you any rights we may have in Output generated specifically for you through your use of the Service. This does not give you rights in Glowai itself, its models, software, systems or other underlying technology, and does not affect rights that third parties may have in material contained in or resembling the Output.

You grant QORVEL LTD a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, modify where technically necessary and otherwise process your Input and Output solely to the extent reasonably necessary to provide, maintain, operate, secure and support Glowai, comply with applicable law and enforce these Terms. Our processing of personal data contained in Input and Output is also governed by our Privacy Policy.

You are responsible for the Input you submit and must have all rights, licences, permissions and lawful bases necessary to provide it to Glowai and permit its processing under these Terms. You must not submit content where doing so would infringe another person's intellectual property, privacy, confidentiality or other legal rights.

AI-generated Output is produced automatically and may be inaccurate, incomplete, outdated, misleading, biased, offensive or otherwise unsuitable for your intended purpose. Glowai does not guarantee the factual accuracy, originality or completeness of Output. Because AI systems may generate similar responses for different users, Output generated for you may be identical or similar to content generated for another user, and such similarity does not give you exclusive rights over material that is not legally capable of exclusive ownership.

You are responsible for reviewing Output before using, publishing, distributing or relying on it. Where appropriate, you should independently verify factual statements, calculations, references, code, rights clearance and other material before acting on the Output.

Glowai and its Output are not a substitute for qualified professional judgement. Output used in connection with legal, medical, financial, employment, safety-critical or other high-impact matters must receive appropriate independent human or professional review before it is relied upon to make or support a consequential decision.

6. Glowai Intellectual Property

Glowai, including the platform, website, software, source code, technology, models, model integrations, systems, databases, interfaces, workflows, designs, graphics, logos, trade names, branding and other proprietary elements of the Service, is owned by or licensed to QORVEL LTD and is protected by applicable intellectual property and other laws.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable right to access and use Glowai for its intended purposes. This right does not transfer ownership of any part of the Service or grant you any licence to our intellectual property except to the limited extent necessary to use Glowai in accordance with these Terms.

Except where expressly authorised by us or permitted by applicable law, you may not copy, reproduce, republish, sell, resell, sublicense, distribute, rent, lease, commercially exploit or create derivative versions of proprietary elements of Glowai. You may not represent that you own, operate or are authorised to license the Glowai platform, technology or branding.

You may not reverse-engineer, decompile, disassemble or otherwise attempt to derive proprietary source code, algorithms, model weights, system prompts, training data or other non-public technical components of Glowai, except to the limited extent that applicable law expressly permits such activity notwithstanding this restriction.

You may not systematically scrape, crawl, harvest, extract or reproduce data, Output, interfaces or other material from Glowai through automated or manual means for the purpose of creating or training a competing service, building a substitute dataset, circumventing usage restrictions or commercially exploiting the Service without our prior written permission. This restriction does not prevent authorised use of an API or other automated functionality expressly made available by Glowai in accordance with the conditions applicable to that functionality.

7. Acceptable Use

You must use Glowai in compliance with applicable law, these Terms and the rights of other users and third parties. You are responsible for the Input you submit, the Output you generate and the way in which you use, publish or distribute that Output.

You must not use Glowai to plan, promote, facilitate or provide instructions for unlawful conduct, including terrorism, human trafficking, illegal weapons activity, illegal manufacture or distribution of controlled substances, fraud, theft, unlawful gambling, money laundering or unlawful evasion of law enforcement.

Glowai must not be used to create, facilitate or distribute fraudulent or deliberately deceptive material, including scams, phishing content, fraudulent payment requests, malicious social-engineering material or other content intended to obtain money, credentials, personal information or property through deception.

You must not use the Service to impersonate another person or organisation without authority, create deceptive representations intended to mislead others about the identity or actions of a real person, fabricate quotations or endorsements for fraudulent purposes, or create deceptive synthetic media or deepfakes intended to cause harm, commit fraud or materially mislead others.

You must not use Glowai to encourage, facilitate or provide operational assistance for unlawful violence, non-consensual sexual activity or conduct intended to cause serious physical harm. You must not use the Service to threaten, stalk, harass, defame or unlawfully discriminate against another person or to promote hatred or unlawful discrimination against individuals or groups on the basis of protected characteristics.

You must not use Glowai to encourage or facilitate suicide, self-harm, eating disorders or other conduct intended to cause serious physical or psychological harm.

You must respect the privacy and intellectual-property rights of others. You may not use Glowai to unlawfully obtain, disclose or distribute private, confidential or personal information, or to infringe copyright, trade marks, patents, trade secrets, publicity rights, privacy rights or other proprietary rights. You are responsible for ensuring that you have the rights and permissions required for material you submit to or use through the Service.

You must not use Glowai to unlawfully interfere with elections, voting or other civic processes, including through fraudulent impersonation, intentionally deceptive information about voting procedures or other unlawful manipulation.

Glowai may not be used to distribute spam, chain messages, unsolicited bulk communications or other unlawful or abusive promotional communications. Where you use Output for marketing or communications, you remain responsible for complying with applicable advertising, privacy, direct-marketing and electronic-communications laws.

8. Child Safety

Glowai must never be used to sexually exploit, abuse or endanger a child. Any use of the Service to create, obtain, possess, solicit, facilitate, distribute or promote child sexual abuse material (“CSAM”) or other content depicting or facilitating the sexual exploitation of minors is strictly prohibited.

You must not use Glowai to create grooming material, facilitate sexual contact with minors, sexualise minors, generate sexualised depictions of minors or provide instructions or assistance intended to enable child sexual exploitation or abuse.

These restrictions apply whether the relevant material involves real children, altered material, synthetic or AI-generated material, or other representations where the activity is prohibited by applicable law or presents a risk of child sexual exploitation or abuse.

Where we become aware of suspected child exploitation or abuse, we may immediately restrict or terminate access to Glowai, preserve relevant records and report information to competent authorities or designated child-safety organisations where required or permitted by applicable law.

9. Platform Security & Automated Use

You must not attempt to gain unauthorised access to Glowai, another user's account, any model, dataset, server, network, database or other system connected to the Service. You must not upload, transmit or deploy malware, viruses, ransomware, spyware, malicious scripts or other code designed to damage, disrupt, monitor or obtain unauthorised access to systems or information.

You may not probe, scan, penetration-test or otherwise test the security or vulnerability of Glowai or connected infrastructure without our prior written authorisation. This restriction does not prevent legitimate security research carried out under a programme or process expressly authorised by us.

You must not bypass, disable, interfere with or attempt to circumvent technical safeguards, content controls, security mechanisms, rate limits, access restrictions, payment controls, token accounting, usage limits or other measures designed to protect or regulate the Service.

You must comply with any rate limits, usage limits and fair-use requirements applicable to your account or particular Glowai functionality. You may not distribute activity across multiple accounts, credentials or automated processes for the purpose of avoiding such restrictions.

Bots, scripts, agents, crawlers and other automated tools may access Glowai only where such access is expressly permitted by us. Where Glowai provides an API or another authorised method of automated access, you must use it in accordance with the applicable technical documentation, authentication requirements, usage limits and these Terms.

You may not systematically scrape, crawl, harvest, extract or reproduce content, data, interfaces or other material from Glowai without our permission, including for the purpose of creating a competing service, training or developing another model, building a substitute dataset or circumventing the commercial or technical limitations of the Service, except to the extent such restriction is prohibited by applicable law.

You must not interfere with or disrupt the operation, integrity, security or availability of Glowai, impose an unreasonable or disproportionately large load on its infrastructure, deliberately degrade performance for other users or assist another person in carrying out prohibited activity against the Service.

10. Enforcement, Suspension & Account Closure

We may investigate suspected breaches of these Terms, misuse of Glowai, fraudulent or unlawful activity, security incidents and conduct that may create a risk to users, third parties or the Service. Investigations may involve appropriate automated systems and human review, and we may preserve relevant information where reasonably necessary for security, fraud prevention, dispute resolution, enforcement of these Terms or compliance with applicable law.

Depending on the nature and seriousness of the issue, we may remove or restrict content, issue a warning, limit access to particular tools or features, impose reasonable usage restrictions, temporarily suspend an account or terminate access to Glowai. Where appropriate, we may give you an opportunity to correct a breach before taking further action.

We may suspend or terminate an account without prior notice where we reasonably consider immediate action necessary because of serious or repeated violations, fraud, unlawful activity, threats to security or platform integrity, attempts to circumvent previous enforcement measures, risks of harm to users or third parties, or legal or regulatory requirements.

Where we reasonably believe that conduct through Glowai may involve unlawful activity, we may preserve relevant records and disclose information to courts, regulators, law-enforcement authorities or other competent bodies where required or permitted by applicable law.

You may stop using Glowai and request closure of your account at any time by contacting [email protected]. Glowai does not operate subscriptions or recurring charges, so closing your account does not require cancellation of a subscription or recurring billing arrangement.

When an account is closed or terminated, your right to access and use the Service ends. Provisions of these Terms that by their nature are intended to continue after closure, including provisions concerning intellectual property, liability, disputes and legal compliance, will survive as applicable.

Unused free, trial or promotional credits are forfeited when an account is closed and have no cash value. Unused purchased tokens are not automatically converted into cash upon account closure. Any entitlement to a refund is determined under the refund provisions of these Terms and mandatory consumer law. Where we terminate an account for a material breach, fraud or unlawful use, unused tokens may be forfeited to the extent permitted by applicable law.

11. Service Availability, Maintenance & Support

Glowai is provided on an “as is” and “as available” basis. We operate and maintain the Service with the aim of providing reliable access, but the availability of online and AI-based services may be affected by maintenance, technical failures, security incidents, third-party infrastructure and other circumstances.

For paying Glowai users, meaning accounts holding an active balance resulting from a one-time token purchase, we target 99.9% monthly availability for the core platform functionality necessary to access Glowai, sign in, submit requests to paid tools and receive responses.

Monthly availability is calculated for each calendar month using our monitoring records according to the following formula: (total minutes in the month − qualifying downtime minutes) ÷ total minutes in the month × 100.

We may carry out planned maintenance to update, maintain or improve the Service. Where reasonably possible, we aim to provide at least 48 hours' advance notice of planned maintenance that is expected to materially affect availability. We may also perform emergency or urgent maintenance without advance notice where reasonably necessary to address security vulnerabilities, incidents, stability problems or other urgent technical risks.

Where a production incident materially affects paying users, we aim to begin investigation promptly and continue working towards restoration of the affected functionality. Our target is to acknowledge critical support issues within four hours during business hours, Monday to Friday, 09:00–17:00 GMT. This is an operational target and not a guaranteed response time.

The availability target applies only to eligible paid use of core Glowai-managed services. Free, promotional, trial, beta, preview, experimental or other functionality expressly identified as non-production or experimental is provided outside the availability target and may be modified, interrupted or discontinued without the service-level commitments described in these Terms.

12. Service Credits

If the monthly availability of eligible core Glowai services falls below the 99.9% target, an eligible paying user may request compensation in the form of Glowai service credit. If monthly availability is below 99.9% but at least 99.0%, the credit is equal to 5% of qualifying purchases made during the affected month. If availability is below 99.0% but at least 95.0%, the credit is 10%. If availability falls below 95.0%, the credit is 25%.

Service credits are calculated against qualifying one-time purchases made for the account during the calendar month affected by the relevant availability failure. Credits apply only where the account and affected use fall within the paid-service availability commitment described above.

To request a service credit, contact [email protected] within 30 calendar days after the end of the affected month and provide your account email, relevant transaction references, the approximate dates and times of the incident, the tools or functionality affected and any supporting information reasonably available to you. We will compare the request against our monitoring and incident records when determining eligibility.

Approved service credits are added to your Glowai account balance and may be used for future eligible use of the Service. Service credits are not cash, electronic money or refundable account balances, cannot be transferred to another user and cannot be redeemed or exchanged for money. Except where applicable law provides otherwise, service credits are the contractual remedy for failure to meet the stated monthly availability target. This does not affect any mandatory statutory remedy that cannot lawfully be excluded.

Downtime does not count towards the availability calculation where it results from planned maintenance, emergency maintenance reasonably necessary to protect security or stability, your network, device, software, configuration, integration, action or omission, use exceeding published rate limits or fair-use thresholds, suspension resulting from a breach of these Terms, or malicious traffic such as distributed denial-of-service attacks where we have taken reasonable protective measures.

Availability calculations also exclude events outside our reasonable control, including natural disasters, war, civil disorder, widespread telecommunications, internet or power failures, governmental action and other events of force majeure. Failures of third-party services outside our direct control, including cloud infrastructure, DNS services, payment providers, external AI models, APIs and other technical dependencies, are also excluded where the relevant failure was not reasonably within our control.

13. Disclaimers

To the fullest extent permitted by applicable law, Glowai is provided on an “as is” and “as available” basis. We do not warrant or guarantee that the Service will be available continuously, operate without interruption, meet every performance expectation or remain free from delays, defects, vulnerabilities or other errors.

Artificial intelligence systems are probabilistic and may produce inaccurate, incomplete, outdated, inconsistent, misleading, biased or otherwise unreliable Output. We do not guarantee that AI-generated Output is factually correct, complete, original, unique or appropriate for any particular purpose.

You are responsible for determining whether Glowai and any Output are suitable for your intended use and for reviewing and, where appropriate, independently verifying Output before relying on, publishing, distributing or acting upon it. Glowai should not be used as a substitute for qualified professional judgement where professional review is appropriate.

Some Glowai functionality may depend on third-party infrastructure, payment services, hosting providers, APIs, external models or other services that we do not directly control. Their availability, performance and operation may affect Glowai, and we do not guarantee the uninterrupted availability or performance of third-party services.

Nothing in these Terms excludes, restricts or modifies any warranty, guarantee, consumer right or other statutory protection that cannot lawfully be excluded or limited under applicable law.

14. Limitation of Liability

Nothing in these Terms is intended to make QORVEL LTD responsible for losses that are outside the scope of responsibility that may lawfully be imposed on us. The limitations in this section apply to the fullest extent permitted by applicable law and must be read together with any mandatory rights and remedies available to you as a consumer.

To the fullest extent permitted by law, QORVEL LTD, its directors, officers, employees, contractors and agents will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss or damage arising out of or in connection with Glowai, these Terms, your account, any purchase, your use of or inability to use the Service, or your use of or reliance upon AI-generated Output.

This includes, where permitted by law, loss of profits, revenue, sales, business, anticipated savings, contracts, commercial opportunities, goodwill, reputation or data, as well as losses resulting from business interruption or decisions made in reliance on Output, where such losses constitute indirect or consequential loss.

Glowai uses artificial intelligence and may produce Output that is inaccurate, incomplete, outdated, inconsistent or unsuitable for a particular purpose. You remain responsible for reviewing and, where appropriate, independently verifying Output before relying upon it. Subject to applicable law, we are not responsible for losses resulting from your decision to rely on Output without appropriate verification or professional review where such review would reasonably be expected.

We are not responsible for loss or damage caused by circumstances outside our reasonable control, including failures of internet or telecommunications networks, widespread power outages, malicious attacks despite reasonable security measures, governmental action, natural disasters, war, civil disorder or failures of third-party infrastructure and services that we do not directly control. This does not limit any responsibility that applicable law requires us to retain.

Where Glowai interoperates with or depends upon third-party services, including hosting providers, payment providers, APIs, external AI models or other technology providers, we are not responsible for acts, omissions, interruptions or failures attributable solely to those third parties where they are outside our reasonable control.

Our total aggregate liability to you arising out of or in connection with Glowai, these Terms or the relevant purchases, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the greater of the total amount you paid to us for purchases affected by the event giving rise to the claim during the 12 months immediately preceding that event, or GBP 100.

Where multiple claims arise from the same event, series of connected events or substantially the same underlying circumstances, those claims will be treated as a single event for the purpose of applying the aggregate liability cap, to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where exclusion or limitation would be unlawful. In particular, nothing excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

If you use Glowai as a consumer, you may have mandatory rights and remedies under applicable consumer protection law. Nothing in these Terms excludes, restricts or modifies those rights where doing so would be unlawful. Where a provision of this section conflicts with a mandatory consumer protection rule applicable to you, that mandatory rule will prevail to the extent of the conflict.

15. Changes to the Service & Terms

Glowai is an evolving technology service. We may modify, update, improve, replace, add to, restrict or discontinue parts of the Service from time to time, including individual tools, models, integrations, interfaces, technical functionality and token requirements.

Changes may be made to improve performance or security, introduce new functionality, remove functionality that is obsolete or no longer commercially or technically viable, respond to misuse or security risks, comply with legal or regulatory requirements, reflect changes made by third-party technology providers, or otherwise develop and operate Glowai.

We may change which AI models, infrastructure providers or other technical systems are used to provide particular Glowai functionality. We do not guarantee that a particular model, integration, interface or feature will remain available indefinitely unless we have expressly agreed otherwise with you.

Where a change materially reduces functionality associated with purchased tokens or otherwise materially affects an existing paid entitlement, we will take reasonable steps to provide notice or an appropriate alternative where required by applicable law.

We may also amend these Terms from time to time. Changes may be necessary because of developments in Glowai, changes to our commercial or operational practices, new functionality, changes to payment processing, security requirements, fraud or abuse risks, changes in applicable law or regulation, court or regulatory decisions, or changes affecting third-party services on which Glowai depends.

The version of these Terms currently in force will display its effective or “Last updated” date. We encourage you to review the Terms periodically, particularly when we notify you that they have changed.

Where a change is material, we will provide reasonable advance notice where required or appropriate. Notice may be provided by email to the address associated with your account, through an in-app notification, by a prominent notice on Glowai or through another reasonable communication method.

Minor changes that do not materially affect your rights, such as corrections, clarifications, formatting changes or updates to contact information, may take effect when published unless applicable law requires otherwise.

Updated Terms apply from the effective date stated in the updated version. By continuing to access or use Glowai after that date, you agree to the updated Terms, subject to any separate consent requirement imposed by applicable law.

Changes to these Terms will not retrospectively alter the price of a completed purchase, reduce tokens already credited to your account or remove rights that have already accrued in relation to a completed transaction where doing so would be prohibited by applicable law.

If you do not agree to a material change, you may stop using Glowai and request closure of your account. Any entitlement relating to unused purchased tokens will be determined in accordance with the refund provisions of these Terms and applicable mandatory consumer law.

16. Governing Law & Disputes

These Terms, their formation, interpretation and enforcement, and any contractual or non-contractual dispute or claim arising out of or in connection with them, Glowai, your account or your use of the Service are governed by the laws of England and Wales.

Before commencing formal proceedings, you are encouraged to contact us at [email protected] with sufficient information about the dispute to allow us to investigate it. We will make reasonable efforts to review the matter and, where possible, resolve legitimate concerns without formal proceedings. Nothing in this paragraph prevents either party from seeking urgent legal relief where necessary or from exercising a right that cannot lawfully be restricted.

Subject to mandatory consumer protection law, the courts of England and Wales have jurisdiction over disputes and claims arising out of or in connection with these Terms or Glowai.

If you use Glowai as a consumer, the choice of English law does not deprive you of mandatory consumer protections that apply to you under the law of your country of habitual residence where those protections cannot lawfully be excluded by contract.

Similarly, if mandatory consumer law permits you to bring proceedings in the courts of your country or place of residence, or otherwise restricts our ability to require exclusive jurisdiction in England and Wales, those mandatory jurisdiction rights remain unaffected.

Nothing in these Terms requires you to waive any statutory right to complain to, seek assistance from or bring a matter before a regulator, supervisory authority, consumer protection body, court or other competent authority where such a right exists under applicable law.

If any provision of these Terms is found by a court or other competent authority to be unlawful, invalid or unenforceable, that provision will apply to the maximum extent permitted by law or, where necessary, will be treated as removed. The remaining provisions of these Terms will continue in effect.

Our failure or delay in exercising a right or remedy under these Terms does not constitute a waiver of that right or remedy. A waiver will be effective only in relation to the specific circumstances for which it is given.

You may not transfer or assign your rights or obligations under these Terms without our prior written consent. We may transfer our rights or obligations in connection with a merger, restructuring, financing, sale of business or assets, or similar corporate transaction, provided that doing so does not unlawfully reduce mandatory rights available to you.

These Terms, together with any additional terms expressly incorporated into them, constitute the agreement between you and QORVEL LTD concerning your use of Glowai and supersede previous versions of the Terms relating to the same subject matter, without affecting rights or obligations that accrued before an updated version became effective.
